Terms and Conditions of Use

CargaExchange (hereinafter, “the Platform”, “we”) is a digital marketplace operated by CargaExchange, based in Panama City, Republic of Panama.

CargaExchange is solely a technology meeting point that lets sellers post container listings (sale or rental) and lets buyers search, compare, and contact the seller directly. The Platform does not own the containers, does not store them, does not inspect them, and does not take part in negotiating or closing any transaction.

We act as an intermediary that organizes and displays information provided by sellers. The commercial relationship, the sale or rental contract, payment, delivery, transport, and crane service are agreed upon and carried out directly and exclusively between the buyer and the seller.

CargaExchange does not process online payments, does not act as a payment gateway, does not hold funds in escrow, does not issue invoices for transactions between users, and is not a party to the contract between buyer and seller.

We do not guarantee the existence, availability, quality, condition, ownership, legality, or suitability of any listed container, nor the accuracy of the listing information, nor the capacity or good faith of users. Any payment or deposit is made at the sole risk of the person making it; we recommend inspecting the container and verifying the seller before paying.

To post listings you must create an account and be of legal age with the legal capacity to enter into contracts under Panamanian law. You are responsible for the accuracy of your account details and for keeping your credentials confidential.

• You are responsible for all activity carried out from your account.
• You must notify us immediately of any unauthorized use.
• We may suspend or cancel accounts that breach these Terms or the law.

The seller is solely responsible for the content, accuracy, validity, and legality of their listings, including photos, price, condition, dimensions, location, and transport and crane terms. The seller represents that they own or are authorized to offer each container.

In accordance with Law 45 of 2007 on consumer protection and competition defense, the information for each good or service offered must be clear, complete, truthful, and free of error, including the price and any data needed for its use. The seller undertakes to comply with that regulation toward the buyer.

By using the Platform, you agree not to:

• Post false, misleading, or fraudulent information or content that infringes third-party rights.
• Offer goods other than containers and related services permitted by the Platform.
• Post unlawful, defamatory, discriminatory, or offensive content.
• Impersonate another person or company.
• Collect data about other users for unauthorized purposes (scraping, spam).
• Interfere with the security or operation of the Platform.

We may review, approve, reject, edit formatting, unpublish, or remove listings that breach these Terms or the law, without this giving rise to any liability for the Platform. Reviewing listings does not imply that we verify or guarantee their content.

We strive to keep the service available, but we do not guarantee uninterrupted availability or the absence of errors; we may suspend or modify the service for maintenance, security, or force majeure.

The CargaExchange brand, logo, design, software, and Platform elements are the property of CargaExchange or its licensors and are protected by law. No rights over them are granted except the use necessary to use the service.

By posting a listing, the seller grants the Platform a non-exclusive, royalty-free, worldwide license to host, display, and reproduce that content for the purpose of operating and promoting the marketplace, representing that they hold the necessary rights over the photos and text they upload.

To the maximum extent permitted by law, CargaExchange shall not be liable for direct or indirect damages arising from: (i) transactions between buyer and seller; (ii) information posted by users; (iii) the inability to use the service; or (iv) acts of third parties. The Platform does not replace the due diligence that each party must carry out before contracting.

Nothing in these Terms limits the non-waivable rights that Panamanian law grants consumers vis-à-vis suppliers.

Consumer relationships arising between a supplier (seller) and a consumer (buyer) are governed by Law 45 of 2007 and fall under the jurisdiction of the Authority for Consumer Protection and Defense of Competition (ACODECO). Consumer claims are directed against the seller; ACODECO hears claims up to US$5,000.00, and above that amount the channel is the civil courts.

You accept that communications and electronic documents generated through the Platform are valid under Law 51 of 2008 (electronic documents and signatures) and its amendments. Contact between users may take place by WhatsApp, phone, or form; the use of WhatsApp is also subject to the terms of Meta Platforms, Inc.

The processing of personal data is governed by our Privacy Policy and by Law 81 of 2019 on the Protection of Personal Data and its Executive Decree 285 of 2021. By using the Platform you acknowledge having read that Policy.

We may update these Terms to reflect legal or service changes. The current version is posted on this page with its update date. Continued use of the Platform after a change implies acceptance of it.

These Terms are governed by the laws of the Republic of Panama. Any dispute shall be submitted to the competent courts of Panama, without prejudice to the powers of ACODECO in consumer matters and of ANTAI in personal data matters.

If any clause is deemed invalid, the rest of the Terms shall remain in force.
